Manchester Heat Network: Non-Executive Director Role
About UsManchester has made a commitment to become a zero carbon city by 2038. A key project underpinning this objective is the delivery of a Civic Quarter Heat Network (CQHN), at the core of which will be a new energy centre located adjacent to Manchester Central Convenon Complex.The CQHN is funded through the provision of loan funding by the Council and a grant from the Government’s Heat Network Investment Project (HNIP). It is being delivered by Vital Energi under a design, build, operate and maintain (DBOM) contract. The construction phase of the project will be complete by the end of 2020 with full operations commencing in early 2021.The management of the Manchester Heat Network will be undertaken through a wholly owned Council SPV, which will be responsible for the provision of heat and power to a number of corporate clients. Manchester Heat Network HoldCo will direct the overall operation of the heat network and will be accountable for the performance to the Council. Who are we looking forThe Manchester Heat Network is looking to appoint two Non Execuve Directors (NEDs) to the HoldCo Board. You’ll work as part of a team who’ll be collectively responsible for oversight of company operaons, play a key role in decision making, ensure compliance with legal and statutory regulaons and support the Heat Network to reach its opmum potenal.We are interested in hearing from dynamic and enthusiastic individuals to drive forward the growth of this new and emerging company. The ideal candidate will: Have previous experience as a Board Director; Possess excellent communication skills; Experience in the energy market and / or in the commercial sector; Be able to demonstrate sound, independent judgment and bring construcve challenge to the Board; The ability to and experience of developing and implemenng strategic business plans; Experience as a leader in an organisaon with a record of achievement throughout their career Arrangements It is ancipated that the post will commence from November / December 2020. Remuneration for the role is set at £5,000 p.a. inclusive of all expenses. Please note, the appointment is non-pensionable. The appointment will be for a three year term, reviewed on an annual basis. It is ancipated that there will be four Board meengs per year, that will last approximately 2 hours, and an Annual General Meeting. The meetings will be held in a central Manchester location or held through a video conferencing platform. Papers will be circulated a week in advance of the meeting, in order for Directors to thoroughly review and consider reports in advance of the Board. Key Responsibilies Act in the best interests of the company at all times. Uphold and comply with the company’s codes of conduct, governance, standards, probity or similar. Uphold and promote the core policies, purpose, values and objectives of the company, including its commitment to equality, and to proactively develop an understanding of the strategic context to facilitate this. Comply with policies and procedures as set and amended from me to me by the Board. Perform dues with reasonable skill and care, ensure that the acvies of the company fall within the permied objecves and are exercised in accordance with its powers, and use powers solely for the purpose for which they are conferred. Contribute to and share responsibility for decisions of the Board and/or any commiee from which they are from me to me a member. Attend induction, training and performance review sessions and other such sessions or events as are reasonably required by the company. Prepare actively for meengs by reading papers and, where necessary, seeking clarificaon in advance. Represent the company when requested.
